Terms of Service

Effective Date: [Date — to be updated after lawyer review]

The short version

Subscription — Monthly, no free tier, cancel anytime online through our payment provider.

Who can use it — The Service is exclusively for US residents 13+. Purchasers must be 18+.

Daily limit — Your plan includes a daily cap of 50 tasks parsed via AI. The allowance is consumed the moment the AI generates the tasks from your input, regardless of whether you keep, modify, or discard them.

Your content — Stays yours. We only license it to run the Service.

1. Acceptance of Terms

OneNextTask (the "Service" or "App") is owned and operated by OneNext LLC, a Washington limited liability company ("Company," "we," "us," or "our"). By checking the mandatory eligibility checkbox during signup and creating an account, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

New accounts must affirmatively accept these Terms and our Privacy Policy before an account is created. If we materially change either document, existing accounts are required to review and re-accept the updated version before continuing to use the Service — see Section 20.

2. The Service

OneNextTask helps you organize tasks, goals, and plans by showing you one task at a time rather than a full list, using an AI-assisted priority engine. Features include an AI-assisted Brain Dump that parses free-form text into structured tasks, grouping tasks into ordered Sequences and narrative Plans, goal-linking, a weekly analytics, and optional push notifications and location-based reminders. We may add, modify, suspend, or discontinue features at any time.

3. Eligibility and Account Authorization

The Service is controlled, operated, and intended strictly for residents of the United States. During signup, you must affirmatively acknowledge a disclaimer confirming your eligibility. By checking this box and creating an account, you explicitly represent and warrant that you are a resident of the United States and are at least 13 years old. Accessing the Service from outside the United States is strictly prohibited.

To purchase a subscription to OneNextTask, you must be at least 18 years of age (or the age of legal majority in your jurisdiction) and capable of forming a binding contract with our payment provider. If you are a parent or legal guardian, you may purchase a subscription and permit a minor who is at least 13 years old to access and use the Service as an authorized user under your account (an "Authorized User"). By doing so, you agree to supervise that Authorized User's use of the Service, and you assume full legal and financial responsibility for all activity conducted on the account — including compliance with Section 7 (Acceptable Use).

4. Accounts and Registration

You are responsible for safeguarding your account credentials and for all activity that occurs under your account, including activity by any Authorized User you have permitted under Section 3. Notify us immediately if you believe your account has been accessed without authorization.

5. Your Content

You retain all ownership rights to content you submit ("User Content"), including Brain Dump text, tasks, goals, and notes. By submitting User Content, you grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display it solely to operate and provide the Service to you. This license ends when your User Content is deleted, except where we are required to retain a copy for legal, security, fraud-prevention, or backup purposes.

You may export a copy of your User Content at any time in a machine-readable format through your account settings. You are responsible for the content you submit and for having the rights necessary for us to process it as described in these Terms and our Privacy Policy.

6. AI Features

The Service uses a third-party artificial intelligence processing provider to parse, prioritize, and structure content you submit, power conversational clarification prompts, and analyze your behavioral interaction metadata to generate weekly pattern insights. Where the Service presents these AI-generated responses — including the clarification chat and weekly analytics — they are generated by automated processing, not a human.

AI-generated results may be inaccurate, incomplete, or inappropriate. Review AI-generated content before relying on it. The Service is not a substitute for professional medical, mental health, legal, or financial advice and should not be used to make decisions in those areas. The Service generates suggestions and observations regarding your task habits; it does not make hiring, lending, insurance, medical, or other legally significant decisions about you.

When you use an AI feature, the relevant portion of your submitted content and interaction telemetry is sent to our AI processing provider. We require our AI processing providers not to use your content or data to train their underlying models, and to delete submitted content and generated output from their systems within a strict Trust and Safety retention period of no more than 30 days.

7. Acceptable Use

You may not use the Service, or any AI-powered feature, to plan, facilitate, or advance:

  • Violence against identifiable persons, harassment, or self-harm
  • Illegal weapons acquisition, manufacturing, or trafficking
  • Chemical, biological, radiological, or nuclear weapons
  • Manufacturing, distributing, or acquiring illegal drugs or controlled substances
  • Child sexual abuse material (CSAM) or child exploitation
  • Human trafficking, prostitution, or non-consensual sexual content
  • Pornography, explicit adult content, or sexually explicit services
  • Gambling, sports betting, sweepstakes, lotteries, or games of chance
  • Fraud, phishing, financial scams, deceptive impersonation, or generating fake reviews
  • Infringement of third-party intellectual property, copyrights, trademarks, or patents
  • Terrorism, violent extremism, or mass casualty planning
  • Cyberattacks, malware distribution, scraping, or attacks on critical infrastructure

You also may not attempt unauthorized access, introduce malware, impersonate others, scrape the Service, or use it to build a competing product from data or access obtained through it. When using any AI-powered feature, you additionally may not attempt to reverse-engineer, extract, or otherwise expose the underlying instructions, configuration, or model behind that feature, or use any AI-generated output from the Service to train, fine-tune, or otherwise develop a competing artificial intelligence model.

Our systems use automated classifiers to detect content in the categories above. If your content is flagged three or more times, your account is automatically suspended and you will be notified at your registered email. Accounts suspended for severe violations involving harm to minors, weapons of mass destruction, terrorism, or fraudulent activity are not eligible for reinstatement. We do not report declined AI requests to law enforcement unless legally required to.

8. Subscriptions and Payment

The Service requires an active paid subscription to use. There is no free tier or trial period at this time.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. That provider — not the Company — is the seller of record for your purchase. It sets and collects the purchase price, including any sales tax, VAT, or GST that applies in your location, issues your receipt, and is the merchant that appears on your card or bank statement.

While our payment provider is the Merchant of Record and authorized reseller for your purchase, the Service itself is licensed to you — not sold — by the Company under these Terms. Purchasing a subscription through our payment provider does not transfer ownership of the Service or any of its software to you.

By subscribing, you also agree to be bound by our payment provider's buyer terms and conditions and privacy policy, which govern the payment transaction itself and are available on the provider's website. If there is a conflict between these Terms and the provider's buyer terms regarding the payment transaction specifically, the provider's buyer terms control.

You can cancel your subscription at any time, online, through your account settings or the subscription management link in your receipt email. Cancellation is processed immediately, prevents any future billing, and does not require contacting support, calling a phone number, or completing any additional steps. Cancellation stops future renewals and takes effect at the end of the current billing period; it does not retroactively refund time already used except as required by our payment provider's own terms or applicable law.

Refund requests are handled by our payment provider under its own policies. The provider retains final authority to deny a refund it reasonably believes is connected to fraud, refund abuse, or a violation of these Terms. Initiating a fraudulent credit card chargeback or bank dispute against a legitimate charge — rather than requesting a refund through the channels above — is a material violation of these Terms and will result in immediate suspension or termination of your account.

If you are purchasing as a business and are eligible for a tax exemption, you are responsible for providing a valid VAT number or Tax ID at the time of purchase. Taxes calculated at the time of a transaction generally cannot be adjusted retroactively.

Our payment provider does not process transactions from countries or regions subject to comprehensive U.S. trade sanctions or embargoes, and we do not knowingly permit access to the Service from those jurisdictions.

If a payment fails or a subscription lapses, access to the Service is suspended until payment is resolved or a new subscription is started. Your account and data are not deleted solely for non-payment — see Section 19.

9. Daily Task Creation Limit

9.1 Daily Allowance and Consumption. Subject to an active, paid subscription, the Company grants each account a daily allowance of up to fifty (50) tasks generated through the Service's AI-assisted Brain Dump feature per calendar day (the "Daily Allowance"). Crucially, this allowance is consumed at the moment of AI processing. When the AI parses your free-text input into structured tasks, each generated task immediately counts against your daily limit. Because the computing cost is incurred during the parsing process, a task deducts from your allowance even if you subsequently choose to discard, skip, or modify it.

9.2 Reset Cycle. The Daily Allowance resets at 00:00 Coordinated Universal Time (UTC) each day. The Company's system clock is the sole and authoritative timekeeper for determining when a reset occurs, regardless of your local time zone.

9.3 No Rollover; No Accumulation. Any unused portion of a Daily Allowance expires immediately at the scheduled daily reset and does not carry forward, accumulate, or transfer to any subsequent day or billing cycle. Daily Allowances have no cash or monetary value, may not be exchanged for cash or credit, and are not transferable between accounts.

9.4 Enforcement. Once an account reaches its Daily Allowance, the Service will decline further task-creation requests submitted through the AI-assisted Brain Dump feature until the next scheduled reset. If a single generation yields more tasks than your remaining daily allowance, the system will only return tasks up to your remaining limit, or may decline the request entirely.

9.5 No Guarantee of Availability. A Daily Allowance sets the maximum number of tasks that may be created in a given day; it is not a guarantee that the Service, or any feature of it, will be available or free of interruption at any particular time. The Company is not liable for your inability to use some or all of a Daily Allowance because of scheduled maintenance, outages, or disruptions caused by third-party service providers, and no credit, refund, or extension of the Daily Allowance will be issued for allowance left unused because of such an interruption.

9.6 Changes to Allowances. The Company may change the amount of any Daily Allowance, the reset schedule, or the mechanics described in this Section 9 at its sole discretion. If the Company reduces the Daily Allowance available under your current subscription, that reduction will take effect no earlier than the start of your next renewal period and no sooner than thirty (30) days after notice is sent to your registered email address or posted within the Service. This Section 9.6 does not limit the Company's other rights under Section 20 (Changes to These Terms).

10. Notifications and Location Features

The Service may send push notifications about your tasks, and may offer optional location-based reminders (for example, a reminder that triggers when you arrive at or leave a saved location) through a companion app. These depend on permissions you grant through your device or browser and can be disabled at any time through device or app settings. We do not guarantee notifications or location-based features will always fire at a particular time or with complete accuracy — see our Privacy Policy for how this data is collected and retained.

11. Intellectual Property

The Service, including its software, interface, and branding, is owned by the Company. The OneNextTask name and logo are trademarks of the Company. You retain ownership of your User Content. To the extent permitted by law, you may use AI-generated output produced for you by the Service; we don't guarantee such output is unique, eligible for copyright protection, or free of third-party rights.

12. Feedback

If you send us suggestions or feedback about the Service, you allow us to use it without restriction or payment. This doesn't give us permission to publish your identity or the content of your tasks.

13. Third-Party Services

The Service relies on third-party providers for cloud infrastructure and hosting, database storage and authentication, artificial intelligence processing, and payment processing (acting as our Merchant of Record). We don't name every provider in these Terms because our infrastructure evolves over time — the current list, what each provider does, and where they process data is maintained on our Subprocessor List. Each provider has its own terms and privacy practices; we're not responsible for their independent failures or policies outside our reasonable control.

14. Security

We use reasonable administrative, technical, and organizational measures to protect the Service, including encryption in transit and database row-level security so each user can only access their own data. No system is completely secure, and you use the Service at your own risk. If we become aware of a breach affecting you, we will notify you as required by law.

15. Availability and Service Changes

We aim to keep the Service available but don't guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, outages, third-party failures, or circumstances outside our reasonable control.

We reserve the right to modify, suspend, or discontinue the Service (or any specific feature) at any time. If we permanently discontinue the Service entirely, we will provide at least 30 days' advance notice to the email address associated with your active subscription, and you will receive a pro-rated refund for any unused time remaining in your current billing cycle from our payment provider.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED RESULTS OR OTHER OUTPUTS WILL BE ACCURATE, RELIABLE, OR ERROR-FREE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. THE COMPANY'S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $50.

Nothing in these Terms limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.

18. Indemnification

To the extent permitted by law, you agree to defend and indemnify the Company against claims arising from your violation of these Terms, your User Content, activity by any Authorized User on your account, or your misuse of the Service.

19. Termination

You may delete your account at any time through app settings. Because account deletion permanently purges your data, we encourage you to use the self-serve export feature in your account settings to download your User Content prior to terminating your account.

We may suspend or terminate your account for violations of these Terms, including the automatic suspension in Section 7 or the chargeback provision in Section 8. To appeal a suspension, email support@onenexttask.com with the subject line "Account suspension appeal" — we review appeals within 48 hours. Accounts suspended for violations involving harm to minors, weapons of mass destruction, or terrorism are not eligible for reinstatement.

20. Changes to These Terms

We may update these Terms and our Privacy Policy. When we make a material change, existing accounts must review and affirmatively re-accept the updated documents before continuing to use the Service. For significant changes, particularly to data practices or liability terms, we intend to also notify active subscribers by email in advance of the change taking effect.

21. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to participate in a class action.

If you have a dispute with us, you agree to first contact us at support@onenexttask.com to attempt to resolve it informally. If we cannot resolve the dispute within 60 days, you and the Company agree that any claim arising out of or relating to these Terms or the Service must be resolved through binding, individual arbitration rather than in court.

Arbitration will be conducted confidentially by a single neutral arbitrator under the Consumer Arbitration Rules of the American Arbitration Association (AAA). The arbitration will take place in King County, Washington, or another mutually agreed location.

Class Action Waiver: You and the Company agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial.

22. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. If a dispute arises, please email us first with a clear description of the issue and what you're looking to resolve — we'll try in good faith to work it out. Nothing here removes any mandatory consumer right you have to bring a claim in another forum.

23. Notice to California Residents

Under California Civil Code Section 1789.3, California users of the Service are entitled to the following consumer rights notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

You may contact the Company regarding pricing, complaints, or questions about the Service by emailing support@onenexttask.com.

24. General

If a provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and the Company regarding the Service.
